► The Symposium Series in a nutshell : As a direct continuation of the previous symposium series co-organised by the Journal of Regulation & Compliance and its partner universities on "Compliance Obligation", which served as the basis for the publication of the book 📘Compliance Obligation The series, some elements of which began in 2024 and others are already present in this book, explored in depth the specific theme of the links between compliance law and contracts. Indeed, compliance law is often analysed as the construction of laws and regulations to achieve "📘 Monumental Goals " of a political nature desired by States and public authorities, to the achievement of which systemic economic operations contribute through 📘Compliance Tools that are now well documented. Contracts are still relatively little studied, or even developed, in compliance systems that are often perceived through the orders issued, the technologies put in place and the 📘sanctions to be avoided or endured. On the contrary, the future of compliance law, particularly in its European conception, which places human beings at the centre of concerns for the sustainability of systems and the use of contracts, is the new conception that we must adopt. Contracts then appear to be both the means by which the subject company fulfils its legal obligations, forges relationships with other actors and deploys the necessary innovations. Contract law is both used and renewed as a result. The series of symposiums will examine various aspects of this general issue. It will result in the publication of a 📘book Compliance and Contrat.

The Conseil d'État (French State Council)l issued a ruling Sept. 19, 2014, Agence pour l'enseignement français à l'étranger, which does not involve a regulated sector but is very instructive for all of them.

Indeed, the term "guidelines" is common in how each and designates certain documents prepared by the regulatory authorities. These give themselves this appellation to documents made ex ante to give operators the "outline" of the future action of the regulator. Thus, the "guidelines" would produce legal certainty while maintaining flexibility, since in the future the authority will continue to set its position on a case by case basis.

This convinced the Conseil d'État, which expressed his support for the "droit souple (soft law)" in its annual report in 2013.

Now comes the case: it was necessary that the "hard right" come bless the "soft law".

In this case, was challenged before the administrative judge an "instruction" from this Agency for French Teaching Abroad for the "consideration of the financial situation of the parents" seeking a scholarship to the child. A local agency for awarding grants had rejected a request no meeting the criteria developed in the statement. Parents have acted appeal for abuse of power. They both lost before the Cour administrative d'appel de Paris (Administrative Court of Pari) that before the Conseil d'État.

However, the Council recognizes that the Agence pour l'enseignement français à l'étranger  has no regulatory power. But the judgement takes in considération that:"l'instruction en cause a énoncé, à l'intention des commissions locales, des lignes directrices, sans fixer de normes à caractère général qui se serait imposée de matière impérative à ces commissions"!footnote-8 .

 
 
 

Triumph of soft law!

Thus, organizations, "agencies", may take "general guidelines" here which do not contain any threshold and generating no rights, on which the commission take real decisions. These are based on the first document, but because of the "flexibility" of it, the one whose solution is affected by the particular decision does'not have the right to appeal.

All the beauty and effectiveness of "soft law". The judge, after having boasted, now offers it royal way.

It was a time where it was easy to distinguish the container(telecommunications) and the content (transported data, called "media"). Has responded to it, the institutional duality in France of two regulators, the « Autorité de régulation des communications électroniques et des Postes » - (ARCEP- the French telecommunications and postal regulator) and the « Conseil Supérieur de l’audiovisuel » (CSA -French audiovisual regulatory) for the regulation of the media. To the movement of technological convergence, we symmetrically consider to merge the two institutions, especially because the digital television makes it possible to give pictures from the phone and the the telephone operators have large media activities. This logic so mechanical, that articulates content and container, as in the United Kingdom, underestimates the dimension of public freedoms and culture, strength in the institution of the « Conseil Supérieur de l’audiovisuel » (CSA -French audiovisual regulatory) and further behind in the « Autorité de régulation des communications électroniques et des Postes » - (ARCEP- the French telecommunications and postal regulator) which presents itself as a economic regulator. This shows that the regulation is not only a technical matter.

Online gambling operators must receive the approval of The Autorité française de régulation des jeux en ligne (ARJEL -The French Online Gaming Regulatory Authority) before exercising. It is a priori control that is to say, ex ante, specific of the regulation mechanism. But litigation were born about updates of licensed software, the update requiring a new legal approval. Regulatory authority has just notify to the European Commission on April 15, 2012 the new system that it implements: the authorised operator may modify the software originally certified and will merely notify the Regulatory authority. If it considers it necessary, the Regulatory authority may require that the operator requests a new registration. The system becomes a "semi-ex-post" supervision .
