The European Directive of 22 October 2014 ot the European Parliament and of the Council as regard disclosure of non-financial and diversity information by certain large undertaking  and groupe  comes from afar.

Some present it as a step of an "irrestible rises  of Corporate Social Responsabilité.  This text would be a  a "step forward" and a "strong signal".

It is true the Directive of the European Parliament and the Council follows a consultation conducted for several years by the European Commission on the subject of Social Responsibility. Whatever might have said the "stakeholders", the Directive contains the same lines tham the European Commission Communication of 13 April 2011, adopted on 25 October 2011 on the topic.

It is difficult today to oppose "Hard Law" and "Soft Law": Law hardens gradually. Thus, from the "communication", we went to the "resolutions", whose status remains uncertain, both a communication firmer but less binding than a law, since resolution is only for its author ... Thus Parliament in its resolutions of 6 February 2013 'resolved' to design an "inclusive" vision of the corporate action, to dance together profitability and social justice. To get by,  it must suffice to say that the Social Responsibility Company is "multidimensional" ... Guidelines of the European Commission (non-binding) will explicit. Wait and see.

Following a series of obligations on information that companies must make available "to the public and authorities." Thus, companies must do the work instead of public authorities themselves. The provisions relating to non-financial information are mandatory and standardized. They are particularly demanding on the environment.

But when the text provides more substantial obligations, such as making the activity business less polluting, the Directive simply ask the member states to encourage companies to adopt "best practices" in the field. The market itself is incitative, in particular for making boards of large corporations more diverses. Because the principle is the belief that "investor access to non-financial information is a step towards achieving the goal of effective .... Europe in the use of resources," in a regulatory context of a "smart, sustainable and inclusive" growth".

Breaking news

The elections in Senegal bring in power a new President of the Republic. Almost immediately after, the Director General of the Autorité de Régulation des Télécommunications et des Postes (ARTP) – (Regulatory authority of telecommunications and posts) is replaced. It took the form of a Decree of April 19, 2012. The new Director General is Mr Ndongo who is Telecommunications engineer.

Summary of the news

The "right to be forgotten" is an invention of the Court of Justice of the European Union during the case Google Spain in 2014. It implies that digital firms block the access to personal data of someone who asks it. This "right to be forgotten", which permits to impose secret to third parties has largely been generalized by GDPR in 2016. This new fundamental subjective right is a very political and European right. United-States which, on the contrary of Europe, did not experience nazism, links the "right to be forgotten" to the protection of consumer, conception which especially leads California Consumer Privacy Act adopted in 2018 to link this right to a situation of absence of necessity of this data for the firm which obtained it. 

In Europe, this willingness to protect directly the person increases the scope of such a subjective right. Thus, in France and in Luxembourg, since 2020, a cancer survivor can thus ask that such an information is not accessible among his or her health data, especially for insurance companies which use them in their risk calculus to set premium amount. Netherlands will do the same in 2021 to fight against discrimination between banks' and insurances' clients. 

The "monumental goal" is therefore not so much here the protection of individual freedoms as the protection of the vulnerable person, which is bye the way the keystone of a Compliance Law, concealing sometimes prohibition to circulate information (as here) and sometimes obligation to circulate information (in other cases, where the alert must be given) depending on whether vulnerable people are protected either by one or by the other.

The European Parliament, which according to the co decision procedure, must vote the text of directive, until the Council of European Ministers doing it, examined the draft of the Directive on Basel III standards on May 14, 2012. On prudential standards, he planned to leave the States free to adopt higher minimum requirements. In addition, it imposed that the bonus paid to the CEO didn't attain a higher price than their fixed compensation.

The text is being challenged before the "Conseil d’Etat" (State Council) for illegality, in that it constitutes state aid. The State Council considers the matter serious enough to suspend the proceeding and seized the Court of Justice of the European Union of a preliminary question on 15 May 2012.

Le Conseil d’Etat considère que l’affaire suffisamment grave pour suspendre la procédure et saisi la Cour de justice de l’Union européenne d’une question préjudicielle le 15 mai 2012.

The case of the Libor is already designated as case which will constitute a turning point in the banking regulation. Indeed, even beyond the astronomical amounts of fines, penalties and damages that were intended to be pronounced, it’ s the declarative system, that is to say the part of self-regulation, the system which is in question. All banks are implicated. Further investigation for agreement is also open. More importantly, it would appear that the Bank of England, Central Bank, knew as early as 2008, has not reacted, or has covered, or even may have been complicit in banks. Therefore, the terrible question appears: "who rely?".

 Presentation of the topic:  "Compliance Obligation" appears to be far from International Arbitration if Compliance Law is only understood in terms of binding regulations or even Criminal Law. Arbitration would only have contact with Compliance Obligation in a repulsive way, when a person claims to have enforced a contract before an arbitration court that disregards a compliance prohibition, e.g. corruption or money laundering. It is therefore from a negative angle that the cross-over has taken place.

The fact that Arbitration Law respects the requisite of Criminal Law is nothing new.  Moreover, the power of Compliance in its detection and prevention tools, particularly in terms of evidence, no doubt increases the global efficiency.

But Compliance Obligation is based on Monumental Goals, notably linked to global human rights and active ambitions about environment and climate which, particularly in the value chain economy, take the legal form of compliance clauses, or even compliance contracts, or various commitments and plans, which the parties can ask the international arbitrator to enforce. They will do so even more as arbitrators are often the only international, or even global, judges available.

The use they will do of Contract Law, Quasi-Contract Law, Enforcement Law, Tort Law, reinforces Compliance Law in a global dimension.

En 2010, l’autorité française de régulation des jeux en ligne (ARJEL) estime qu’un opérateur aurait du exigé de tous les joueurs qu’ils ouvrent un compte avant son propre agrément par le régulateur, et que les joueurs acceptent les conditions générales de vente avant leur première mise, ces informations devant être insérées par l’opérateur sur le support d’archivage en temps réel. Ainsi, l’antériorité est acquise, cette certitude évitant toute manipulant et l’opérateur pouvant ainsi surveiller, comme le prévoit la loi, les joueurs, notamment au titre de la lutte contre la fraude et le blanchiment d’argent.
